These Terms & Conditions ("Terms") govern your access to and use of OPIFIRM (the "Service"), a cloud enterprise resource planning platform provided by OPIFIRM ("we", "us", "our"), trading as OPIFIRM. By creating an account, accessing or continuing to use the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. You are contracting with OPIFIRM.

1. Eligibility and authority

You confirm that you are of legal age to enter into a contract and, where you register on behalf of a company or other organisation, that you have authority to bind that organisation to these Terms. You must provide accurate registration information and keep it up to date.

2. The Service

OPIFIRM provides landed-cost calculation, shipment and import management, inventory with batch and expiry tracking, multi-warehouse locations, barcode and QR tracking, sales and purchasing, double-entry accounting, HR and payroll, reporting and related administration tools, delivered as a hosted subscription service.

3. Licence and restrictions

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes, within the limits of the plan you have selected. You must not:

  • reverse engineer, decompile or attempt to derive source code from the Service;
  • resell, sublicense, rent or otherwise redistribute the Service to third parties;
  • circumvent user, warehouse, storage or other technical limits of your plan; or
  • use the Service to build a competing product.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

  • use the Service for any unlawful purpose or in breach of applicable law or regulation;
  • engage in fraud, spam or deceptive activity;
  • upload or process content that infringes the intellectual property or privacy rights of others;
  • interfere with the security or integrity of the Service, including uploading malware, probing or scanning systems, bypassing access controls, or scraping data by automated means; or
  • attempt to access another customer's workspace or data.

5. Accounts and credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity carried out under your account and under the accounts of users you invite to your workspace. Notify us promptly at opifirm.erp@gmail.com if you suspect unauthorised access.

6. Your data and content

You retain ownership of the data and content you upload to the Service. You grant us a limited licence to host, store, process and transmit that content solely to provide and support the Service. Our handling of personal data is described in our Privacy Notice.

7. Intellectual property

We (and our licensors) retain all right, title and interest in and to the Service, including its software, interfaces, documentation, trade marks and branding. Nothing in these Terms transfers ownership of any of our intellectual property to you.

8. Payment, subscription and taxes

Subscriptions are offered on the plans and prices shown on our pricing page, billed monthly or annually in advance and renewing automatically until cancelled. Payment, billing, currency, tax, invoicing, cancellation and refund mechanics are handled by our reseller Paddle and are governed by the Paddle Buyer Terms. Our refund commitment is set out in our Refund Policy.

9. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Service availability

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, timely, secure or error-free. Maintenance, updates and factors outside our control may affect availability.

11. Warranties

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. The Service supports your business record-keeping but does not constitute accounting, tax, legal or financial advice; you remain responsible for reviewing outputs and meeting your own regulatory obligations.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, including loss of profits, revenue, data or goodwill. Our aggregate liability arising out of or relating to the Service is limited to the fees you paid in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

13. Indemnity

You will indemnify and hold us harmless against claims, damages and reasonable costs arising from your content, your unlawful use of the Service, or your breach of these Terms.

14. Suspension and termination

We may suspend or terminate access to the Service where:

  • you materially breach these Terms;
  • fees remain unpaid after their due date;
  • there is a credible security or fraud risk; or
  • there are repeated or serious violations of our acceptable use rules.

You may cancel your subscription at any time. On termination, your access ends and you may request an export of your data within 30 days, after which it may be deleted or anonymised.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified in-app or by email, and your continued use of the Service after the effective date constitutes acceptance.

16. Assignment

You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition or sale of assets.

17. Force majeure

Neither party is liable for failure to perform due to events beyond its reasonable control, including outages of upstream infrastructure providers, natural events, war or government action.

18. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which OPIFIRM is established, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, without prejudice to mandatory consumer protections available to you locally.
